Munich Re’s Board of Management, with the consent of the Supervisory Board, acting through the Praesidium and Sustainability Committee, has resolved to buy back own shares for a total purchase price of a maximum of €1.5bn (excluding incidental expenses) via the stock-exchange in the period between 26 April 2024 and, at the latest, the Annual General Meeting on 30 April 2025. The buy-back is based on the authorization of the Annual General Meeting of 25 April 2024. The repurchased shares are to be retired.

The buy-back via the Xetra-trading system of the Deutsche Börse AG will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Article 5, of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 in conjunction with the rules of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No. 596/2014 of the European Parliament and of the Council with regard to technical regulatory standards for the conditions applicable to buy-back programmes and stabilisation measures. We will keep you informed about the progress of the share buy-back programme on this website.

Munich Re’s Board of Management, with the consent of the Supervisory Board, acting through the Standing Committee, has resolved to buy back own shares for a total purchase price of a maximum of €1bn (excluding incidental expenses) via the stock-exchange in the period between 29 April 2022 and, at the latest, the Annual General Meeting on 5 May 2023. The buy-back is based on the authorisation of the Annual General Meeting of 28 April 2022. The repurchased shares are to be retired.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Article 5, of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 in conjunction with the rules of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No. 596/2014 of the European Parliament and of the Council with regard to technical regulatory standards for the conditions applicable to buy-back programmes and stabilisation measures. Munich Re's Board of Management has resolved on 19 March 2019 to acquire in the period between 2 May 2019 and, at the latest, the next Annual General Meeting on 29 April 2020 own shares for a maximum total purchase price of €1bn via the stock exchange. Munich Re’s Board of Management is thus availing itself of the authorisation granted at the Annual General Meeting on 25 April 2018 to buy back shares.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Articles 5, 14 and 15 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 in conjunction with the rules of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No. 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures (hereinafter: Regulation (EU) No. 2016/1052), with the exception of Article 2 para 1 a) of Regulation (EU) 2016/1052. Munich Re's Board of Management has resolved on 15 March 2017 to acquire in the period between 27 April 2017 and, at the latest, the next Annual General Meeting on 25 April 2018 up to 11 million Munich Re shares for a maximum total purchase price of €1bn via the stock exchange. The shares may be also be acquired using derivatives in the form of put options, call options or a combination of both in accordance with the authorisation granted by the Annual General Meeting on 26 April 2017. The Company may acquire own shares up to a maximum of 5% of the share capital at the time of the authorisation (26 April 2017) using options. Munich Re’s Board of Management has thus availed itself of the authorisation granted at the Annual General Meeting on 26 April 2017 to buy back shares.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Articles 5, 14 and 15 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 in conjunction with the rules of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures (hereinafter: EU Regulation 2016/1052. We will keep you informed about the progress of the share buy-back programme on this website.

Munich Re's Board of Management has resolved on 16 March 2016 to acquire in the period between 28 April 2016 and, at the latest, the next Annual General Meeting on 26 April 2017 up to 11 million Munich Re shares for a maximum total purchase price of €1bn via the stock exchange. The shares may be also be acquired using derivatives in the form of put options, call options or a combination of both in accordance with the authorisation granted by the Annual General Meeting on 27 April 2016. The Company may acquire own shares up to a maximum of 5% of the share capital at the time of the authorisation (27 April 2016) using options. Munich Re’s Board of Management has thus availed itself of the authorisation granted at the Annual General Meeting on 27 April 2016 to buy back shares.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Section 14 para. 2 and Section 20a para. 3 of the German Securities Trading Act in conjunction with the rules of Commission Regulation (EC) No. 2273/2003 of 22 December 2003 or a respective regulation that replaces Commission Regulation (EC) No. 2273/2003 . The buy-back programme may be stopped and then resumed at any time. We will keep you informed about the progress of the share buy-back programme on this website.

Munich Re's Board of Management has resolved on 11 March 2015 to acquire in the period between 24 April 2015 and, at the latest, the next Annual General Meeting on 27 April 2016 up to 11 million Munich Re shares for a maximum total purchase price of €1bn via the stock exchange. The shares may be also be acquired using derivatives in the form of put options, call options or a combination of both in accordance with the authorisation granted by the Annual General Meeting on 23 April 2015. The Company may acquire own shares up to a maximum of 5% of the share capital at the time of the authorisation (23 April 2015) using options. Munich Re’s Board of Management has thus availed itself of the authorisation granted at the Annual General Meeting on 23 April 2015 to buy back shares.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back programme may be stopped and then resumed at any time.

Munich Re's Board of Management has availed itself of the authorisation granted at the Annual General Meeting on 30 April 2014 to buy back shares and resolved on 20 March 2014 to acquire in the period between 01 May 2014 and, at the latest, the next Annual General Meeting on 23 April 2015 up to 13 million Munich Re shares for a maximum total purchase price of €1bn via the stock exchange. The shares may be also be acquired using derivatives in the form of put options, call options or a combination of both in accordance with the authorisation granted by the Annual General Meeting on 30 April 2014. The Company may acquire own shares up to a maximum of 5% of the share capital at the time of the authorisation (30 April 2014) using options. The repurchased shares will be retired in order to optimise the Company’s capital structure.

The buy-back will be lead-managed by one or more banks, which will make their decisions regarding the timing of share acquisitions independently of and without influence by Munich Re. The buy-back will be carried out in accordance with Section 14 para. 2 and Section 20a para. 3 of the German Securities Trading Act in conjunction with the rules of Commission Regulation (EC) No. 2273/2003 of 22 December 2003. The buy-back programme may be stopped and then resumed at any time.
